Terms of Service

Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Afri-Metrics Ltd (RC No. 8911463), a company incorporated in Nigeria and operating the website afrimetrics.com and all associated services (collectively, "Afrimetrics," "we," "us," or "our").

By accessing or using Afrimetrics, creating an account, or subscribing to any paid tier, you agree to be bound by these Terms. If you do not agree, you must not access or use the platform. If you are using Afrimetrics on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Description of Service

Afrimetrics is a financial intelligence and analytics platform focused on the Nigerian Exchange (NGX) and, over time, additional African markets. The platform provides:

  • Portfolio Tracking tracking of user-entered holdings across equities, mutual funds, fixed income, and other asset classes.
  • Financial Data and Analytics company financials, ratios, fund data, and related analytical tools ("Understand" layer).
  • Portfolio Intelligence deeper analytical and interpretive features available to Pro subscribers ("Ask" layer).

Afrimetrics reserves the right to add, modify, or discontinue any feature, tool, or service at any time, with or without notice, at its sole discretion.

Not Investment Advice

Afrimetrics is an information and analytics platform. It is not a broker-dealer, investment adviser, portfolio manager, or fund manager, and nothing on the platform constitutes investment, financial, tax, or legal advice.

  • All data, ratios, scores, verdicts, summaries, and commentary are provided for informational and educational purposes only.
  • Afrimetrics does not recommend, endorse, or solicit the purchase or sale of any specific security, fund, or financial instrument.
  • Past performance data displayed on the platform is not indicative of future results.
  • You are solely responsible for your own investment decisions. You should consult a licensed financial adviser, stockbroker, or other qualified professional before making any investment decision.
  • Afrimetrics maintains strict neutrality and does not enter into brokerage partnerships or receive placement fees for promoting specific securities or funds, in order to preserve the independence of the information it provides. This neutrality does not, however, convert any content on the platform into personalized financial advice.

Market Data and Third-Party Data Sources

  • Price, index, and related market data displayed on Afrimetrics may be sourced under license from the Nigerian Exchange (NGX) and/or NGX-licensed redistributors, and may also include data compiled independently by Afrimetrics from public disclosures and other sources.
  • Where required under applicable licensing arrangements, NGX-sourced data is displayed with a minimum 30-minute delay, the applicable copyright/source notice, and any other attribution NGX requires. Delayed data should not be used for time-sensitive trading decisions.
  • Afrimetrics does not guarantee the accuracy, completeness, or timeliness of any third-party data and is not liable for decisions made in reliance on such data.
  • Mutual fund and fixed income data is compiled from fund fact sheets, regulatory filings, and other public disclosures. Fund managers who do not publish regular fact sheets may show gaps in coverage; this reflects the fund manager's disclosure practices and is not an error by Afrimetrics.

Accounts and Eligibility

  • You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You agree to provide accurate registration information and to keep it up to date.
  • Afrimetrics may suspend or terminate accounts that provide false information, violate these Terms, or are used for unauthorized or fraudulent purposes.

Subscriptions, Pricing, and Billing

Afrimetrics offers a free tier (Portfolio Tracking) and a paid Pro subscription tier.

  • Pricing and renewal The current Pro subscription price is displayed at checkout. Pro subscriptions are billed annually and automatically renew at the then-current price unless cancelled before the renewal date.
  • Founding-member pricing Where offered, founding-member pricing is locked for the specific term communicated at signup and does not apply to subsequent renewals unless explicitly stated.
  • Payments Payments are processed through Paystack or other payment processors designated by Afrimetrics. Afrimetrics does not store your full payment card details.
  • Refunds Subscription payments are non-refundable except where a refund is required by applicable law or expressly stated at checkout. If you believe you were charged in error, contact us promptly at useafrimetrics@gmail.com so we can review the transaction.
  • Cancellation You may cancel auto-renewal at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period; no partial-period refunds are issued unless required by law.
  • Price changes Afrimetrics may change subscription pricing for future billing periods with reasonable advance notice to existing subscribers.

Acceptable Use

You agree not to:

  • Scrape, crawl, or systematically extract data from the platform without written permission.
  • Reverse-engineer, decompile, or attempt to derive the source code of the platform.
  • Resell, redistribute, or sublicense Afrimetrics data or analytics to third parties without a separate written agreement.
  • Use the platform to violate any applicable Nigerian law or regulation, including securities laws.
  • Interfere with the platform's operation, security, or availability, including through automated bots, denial-of-service attempts, or unauthorized access attempts.
  • Misrepresent your identity or impersonate any person or entity.

Violation of this section may result in immediate suspension or termination of your account without refund.

Intellectual Property

  • All content on Afrimetrics including the platform design, analytics methodologies, scoring systems, proprietary datasets (such as the Nigerian Financial Intelligence Graph), text, graphics, logos, and software — is the property of Afri-Metrics Ltd or its licensors and is protected by Nigerian and international intellectual property law.
  • Subject to your compliance with these Terms, Afrimetrics grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your personal, non-commercial use.
  • No other rights are granted. Any use beyond this license requires prior written consent from Afrimetrics.
  • Third-party data (e.g., NGX-sourced market data) remains the property of the applicable data provider and is used under license; your rights to that data are limited to the extent permitted under Afrimetrics' own license from the provider.

User-Generated Content

If Afrimetrics allows you to submit content (e.g., portfolio notes, community posts, comments), you retain ownership of that content but grant Afrimetrics a worldwide, royalty-free, non-exclusive license to host, display, and use it in connection with operating and improving the platform. You are solely responsible for content you submit and represent that it does not infringe any third party's rights or violate any law.

Privacy and Data Protection

Afrimetrics collects and processes personal data, including portfolio and financial information you input, in accordance with our Privacy Policy and the Nigeria Data Protection Act 2023. By using the platform, you acknowledge that your personal data may be processed as described in the Privacy Policy. Portfolio data you enter is used to provide the tracking and intelligence features and is not sold to third parties.

Disclaimers and Limitation of Liability

  • The platform is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Afrimetrics does not warrant that the platform will be uninterrupted, error-free, or free of harmful components, or that any data, score, or analysis is accurate or complete.
  • To the maximum extent permitted by Nigerian law, Afri-Metrics Ltd, its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or investment value, arising from your use of or inability to use the platform, even if advised of the possibility of such damages.
  • Afrimetrics' total aggregate liability for any claim arising from these Terms or your use of the platform shall not exceed the amount you paid to Afrimetrics in the twelve (12) months preceding the claim.
  • Nothing in these Terms limits liability that cannot be excluded under applicable Nigerian law.

Termination

  • You may close your account at any time by contacting support or through account settings.
  • Afrimetrics may suspend or terminate your access, with or without notice, for breach of these Terms, suspected fraudulent or unlawful activity, or non-payment of subscription fees.
  • Upon termination, your right to access the platform ceases immediately. Sections that by their nature should survive termination (including Sections 3, 8, 10, and 11, and the Governing Law section below) will continue to apply.

Changes to These Terms

Afrimetrics may update these Terms from time to time. Where a change materially affects your rights or obligations, we will provide notice through the platform or by email before the change takes effect. The latest version will always be available on this page. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of the platform shall first be addressed through good-faith negotiation. If the dispute cannot be resolved by negotiation, it shall be subject to the jurisdiction of the courts of Nigeria.

Miscellaneous

  • Entire Agreement These Terms, together with the Privacy Policy and any applicable service-specific agreements, constitute the entire agreement between you and Afrimetrics regarding the platform.
  • Severability If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
  • No Waiver Failure to enforce any provision is not a waiver of the right to enforce it later.
  • Assignment You may not assign your rights under these Terms without Afrimetrics' consent; Afrimetrics may assign its rights in connection with a merger, acquisition, or sale of assets.
